Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the website located at https://showbaseusa.com (the "Site") and the general informational, marketing, and account-related features made available on the Site by GW Tech, LLC, a Florida limited liability company doing business as "ShowBase" ("ShowBase," "we," "us," or "our"). By accessing or using the Site, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Site.

These Terms apply to the Site generally. If you or your organization has entered into a ShowBase SaaS Subscription Agreement or a separate Order Form for use of the ShowBase software-as-a-service platform (the "Service"), that separate written agreement governs your use of the Service, and these Terms apply to the Site only to the extent they do not conflict with that agreement. In the event of a conflict between these Terms and a signed Subscription Agreement or Order Form, the Subscription Agreement or Order Form controls with respect to the Service.

We may update these Terms from time to time as described in Section 15. Your continued use of the Site after an update constitutes acceptance of the revised Terms.

2. Who We Are; The Service

ShowBase has developed and operates a proprietary, cloud-based software-as-a-service platform designed for exhibit houses and trade show service providers, offering modules for project management, AI-assisted quoting, light CRM and vendor management, warehouse operations, inventory reservations, and a client/crew portal known as "ShowBase Floor." Our principal place of business is 3400 Mallard Pond Blvd, St. Cloud, FL 34772.

The Site provides information about ShowBase and the Service, allows prospective customers to request demonstrations or contact our sales team, and may allow existing customers to access support resources or account-related information. Access to and use of the Service itself by a paying customer and its authorized users is governed exclusively by that customer's Subscription Agreement and applicable Order Form, not by these Terms.

3. Eligibility

The Site and the Service are intended for business use by companies operating in the exhibit, trade show, and events industry, and by their authorized personnel. By using the Site, you represent that you are at least 18 years old, that you are using the Site in connection with a legitimate business purpose, and, if you are using the Site on behalf of an organization, that you have authority to bind that organization to these Terms.

4. Acceptable Use of the Site

You will not, and will not permit any third party to:

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation;
  • Attempt to gain unauthorized access to, interfere with, or disrupt the Site, its servers, or any connected network;
  • Reverse engineer, decompile, disassemble, scrape, or attempt to derive the source code or underlying structure of the Site, except to the extent such restriction is prohibited by applicable law;
  • Transmit any virus, malware, or other harmful code through the Site;
  • Submit false, misleading, or fraudulent information through any form, demo request, or account-related feature on the Site;
  • Use any automated means (bots, scrapers, crawlers) to access the Site for any purpose without our prior written consent; or
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We may suspend or terminate your access to the Site, without notice, for conduct that we believe violates these Terms or is otherwise harmful to ShowBase, other users, or third parties.

5. Accounts

Certain features of the Site may require you to create an account or provide contact information. You are responsible for maintaining the confidentiality of any login credentials associated with your account and for all activity that occurs under your account. You agree to notify us promptly at legal@showbaseusa.com of any unauthorized use of your account.

6. Demos, Trials, and Sales Discovery

If ShowBase offers a product demonstration, trial access, or discovery call in connection with a prospective subscription, any such offering is provided for evaluation purposes only, is provided "as is" without warranty of any kind, and does not itself create a subscription to the Service. A binding subscription arises only upon execution of an Order Form incorporating the ShowBase SaaS Subscription Agreement.

7. Intellectual Property

The Site, and all content, features, and functionality of the Site — including text, graphics, logos, the ShowBase name and marks, software, and the design, selection, and arrangement of the foregoing — are owned by ShowBase or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited right to access and view the Site for its intended purposes, no right, title, or interest in the Site is transferred to you, and all rights not expressly granted are reserved by ShowBase.

"ShowBase," "ShowBase Floor," and associated logos are trademarks of GW Tech, LLC. You may not use these marks without our prior written consent, except as expressly permitted by these Terms or a separate written agreement.

8. Feedback and Submissions

If you submit ideas, suggestions, or feedback about the Site or the Service through the Site (for example, through a contact form), you grant ShowBase a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, including improving the Site and the Service, without any obligation or compensation to you.

9. Reseller and Merchant of Record; Third-Party Services

Our order process is conducted by our online reseller, Paddle.com. Paddle.com is the Merchant of Record for all our orders and acts as an authorized reseller of the Service on our behalf. Paddle provides all customer service inquiries related to billing and handles returns and refund requests consistent with our Refund Policy. Your purchase is subject to Paddle's own buyer terms and privacy policy, in addition to these Terms.

The Site may also contain links to other third-party websites or services that are not owned or controlled by ShowBase. ShowBase is not responsible for the content, privacy practices, or terms of any third-party site or service, and your use of any such third-party site or service is at your own risk and subject to that third party's own terms.

10. Disclaimers

THE SITE AND ANY CONTENT MADE AVAILABLE ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHOWBASE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. THIS SECTION DOES NOT AFFECT ANY WARRANTY EXPRESSLY PROVIDED TO A CUSTOMER UNDER A SIGNED SUBSCRIPTION AGREEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWBASE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWBASE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS SECTION DOES NOT LIMIT ANY LIABILITY CAP OR CARVE-OUT EXPRESSLY SET OUT IN A SIGNED SUBSCRIPTION AGREEMENT, WHICH GOVERNS FOR MATTERS RELATING TO THE SERVICE. NOTHING IN THIS SECTION IS INTENDED TO LIMIT ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE FLORIDA LAW, INCLUDING THE FLORIDA DECEPTIVE AND UNFAIR TRADE PRACTICES ACT, FLA. STAT. §§ 501.201–501.213.

12. Indemnification

You agree to defend, indemnify, and hold harmless ShowBase and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your violation of these Terms or your misuse of the Site.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Osceola County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection to that venue. Before initiating formal proceedings, the parties will attempt in good faith to resolve any dispute through informal negotiation.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections 7, 8, 10, 11, 12, and 13 survive any termination of your access to the Site.

15. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will update the "Effective Date" above and, where appropriate, provide additional notice (such as a banner on the Site). Your continued use of the Site after any revised Terms take effect constitutes your acceptance of the revised Terms.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and, where applicable, a signed Subscription Agreement and Order Form, constitute the entire agreement between you and ShowBase regarding the Site and supersede any prior agreements on that subject.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No Waiver. ShowBase's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. ShowBase may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Electronic Communications. By using the Site, you consent to receive communications from ShowBase electronically, and you agree that any notices, agreements, disclosures, or other communications we send electronically satisfy any legal requirement that such communications be in writing, consistent with the Florida Uniform Electronic Transactions Act, Fla. Stat. ch. 668, Part II.

1. Overview and Scope

GW Tech, LLC, a Florida limited liability company doing business as "ShowBase" ("ShowBase," "we," "us," or "our"), respects your privacy. This Privacy Policy explains how we collect, use, disclose, and protect information in connection with our website at https://showbaseusa.com (the "Site") and our cloud-based software-as-a-service platform for exhibit houses and trade show service providers (the "Service").

This Policy is divided into two parts. Part A covers personal information we collect about visitors to the Site, prospective customers, and individuals who contact us. Part B addresses "Customer Data" that our subscribing customers and their authorized users submit to or generate within the Service, which is handled consistent with the customer's ShowBase SaaS Subscription Agreement. If you are an authorized user of a customer's ShowBase account, your organization's own privacy notices and internal policies may also apply to your use of the Service.

PART A — WEBSITE AND BUSINESS CONTACT INFORMATION

2. Information We Collect

We collect the following categories of information:

  • Contact and identification information you provide, such as your name, business email address, phone number, job title, and company name, when you fill out a contact form, request a demo, subscribe to communications, or otherwise contact us;
  • Billing contact information associated with a subscribing customer's account, such as the billing contact's name and email address, which we use to administer the account (note: payment card details, billing address, and tax information are collected, processed, and stored solely by Paddle.com, our merchant of record, as described in Section 7);
  • Usage and device information collected automatically when you visit the Site, such as IP address, browser type, device type, referring/exit pages, and general usage patterns, typically through cookies and similar technologies described in Section 4;
  • Information you provide in communications with us, such as support inquiries or sales correspondence.

We do not knowingly collect sensitive personal information (such as government identification numbers, precise geolocation, or health information) through the Site, and we ask that you not submit such information to us through the Site.

3. How We Use Information

We use the information described in Section 2 to:

  • Operate, maintain, and improve the Site;
  • Respond to inquiries, provide customer support, and communicate with prospective and current customers;
  • Administer subscriptions, billing coordination, and account-related notices for current customers;
  • Send marketing and product communications, which you may opt out of at any time as described in Section 8;
  • Monitor and analyze usage trends to improve the Site and the Service;
  • Detect, investigate, and prevent fraudulent, unauthorized, or illegal activity; and
  • Comply with applicable legal obligations.

4. Cookies and Similar Technologies

The Site uses cookies and similar technologies (such as pixels and local storage) to operate the Site, remember preferences, and understand how visitors use the Site, including through analytics providers. You can control cookies through your browser settings; disabling cookies may affect the functionality of the Site. We do not currently respond to browser "Do Not Track" signals.

5. How We Share Information

We do not sell your personal information. We may share the information described in Section 2 with:

  • Service providers who perform functions on our behalf, such as cloud hosting, email delivery, analytics, and customer relationship management, under obligations to protect that information and use it only to provide services to us;
  • Paddle.com, our merchant of record, for billing and transaction-related information associated with a subscribing customer's account, as described in Section 7;
  • Professional advisors, such as lawyers and accountants, where necessary for their services to us;
  • Government authorities or other third parties where required by law, legal process, or to protect the rights, property, or safety of ShowBase, our customers, or others; and
  • A successor entity in connection with a merger, acquisition, financing, or sale of assets, subject to standard confidentiality protections.

6. Data Retention

We retain the information described in Section 2 for as long as reasonably necessary to fulfill the purposes described in this Policy, including to maintain business records, administer customer accounts, and comply with legal, accounting, or reporting requirements, after which we will delete or de-identify it.

7. Payment Information

Purchases of a ShowBase subscription are transacted through Paddle.com ("Paddle"), our authorized reseller and merchant of record. Paddle is the seller of record for your subscription and collects, processes, and stores your payment card details, billing address, and related transaction and tax information as an independent controller, under its own terms of service and privacy policy, which are not incorporated into this Policy. ShowBase does not receive, retain, store, or otherwise have access to your credit card numbers, bank account numbers, or other payment card information.

8. Your Choices

You may opt out of marketing emails from us at any time by using the unsubscribe link in those emails or by contacting us at legal@showbaseusa.com. You may request access to, correction of, or deletion of business contact information we hold about you by contacting us at the same address. We will respond to verified requests within a reasonable time and consistent with applicable law. We may retain information as necessary to comply with legal obligations, resolve disputes, or enforce our agreements.

9. State and Regional Privacy Rights

Depending on where you are located, you may have additional rights regarding your personal information under applicable law, such as the right to know what personal information we hold about you, the right to request deletion or correction, and the right to opt out of certain uses or disclosures. To exercise any such rights, contact us at legal@showbaseusa.com. We will not discriminate against you for exercising these rights. Because our Site and business contacts are primarily business-to-business in nature, most of the information we collect through the Site relates to your role at your employer rather than to you as a consumer. The Florida Digital Bill of Rights, Fla. Stat. §§ 501.701–501.718, gives Florida consumers certain additional rights against "controllers" that meet that law's applicability thresholds (including a $1 billion global annual revenue threshold); ShowBase honors the requests described in this Section as a matter of policy regardless of whether those thresholds apply to us.

10. Children's Privacy

The Site and the Service are intended for business use by adults and are not directed to children under 16. We do not knowingly collect personal information from children under 16. If you believe a child has provided us with personal information, please contact us at legal@showbaseusa.com so we can address it.

11. International Users

The Site and the Service are operated from the United States, and information we collect is generally stored and processed in the United States. If you access the Site or the Service from outside the United States, you understand that your information may be transferred to, stored, and processed in the United States, which may have data protection laws different from those of your jurisdiction.

12. Florida Data Breach Notification

ShowBase takes reasonable measures, consistent with Fla. Stat. § 501.171(2), to protect and secure the personal information described in Section 2, and disposes of records containing that information by shredding, erasing, or otherwise rendering it unreadable when it is no longer needed. If ShowBase determines that a breach of security has occurred affecting personal information we hold directly (for example, business contact or billing contact information described in Section 2), we will notify affected individuals as expeditiously as practicable and, in any event, no later than 30 days after that determination, as required by the Florida Information Protection Act, Fla. Stat. § 501.171. If a breach affects 500 or more Florida residents, we will also notify the Florida Department of Legal Affairs within the same 30-day period, and, if a breach affects 1,000 or more individuals, the nationwide consumer reporting agencies, each as required by Fla. Stat. § 501.171. Where required by that statute because Social Security numbers were involved, we will provide affected individuals no-cost identity theft protection services for at least 12 months. This Section addresses personal information ShowBase holds directly; breaches of Customer Data are instead addressed in Section 13.

PART B — CUSTOMER DATA WITHIN THE SERVICE

13. Customer Data Is Governed by the Subscription Agreement

If your organization is a ShowBase customer, data submitted, uploaded, or generated through use of the Service by your organization or its authorized users — including client, vendor, project, quote, inventory, and warehouse information ("Customer Data") — is owned by your organization and is handled in accordance with the ShowBase SaaS Subscription Agreement between ShowBase and your organization, not this Part B alone. This section summarizes those commitments for transparency.

  • Ownership. As between ShowBase and the customer, the customer owns all right, title, and interest in its Customer Data. ShowBase holds only a limited, non-exclusive license to host, copy, transmit, and display Customer Data to provide the Service.
  • Aggregated Data. ShowBase may create de-identified, aggregated data from Customer Data across its customer base and use it for lawful business purposes, including improving the Service and the accuracy of its AI Quoting functionality, provided such data does not identify any customer, authorized user, or individual.
  • Security. ShowBase maintains administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of Customer Data, consistent with generally accepted industry standards for SaaS providers of similar size.
  • Breach Notification. For purposes of Customer Data, ShowBase acts as a "third-party agent" under the Florida Information Protection Act, and the customer is the "covered entity" responsible for notifying affected individuals. If ShowBase confirms unauthorized access to or acquisition of Customer Data that compromises its security, confidentiality, or integrity, ShowBase will notify the affected customer without unreasonable delay and, consistent with Fla. Stat. § 501.171(6), no later than ten (10) days after that determination, so the customer can meet its own 30-day notification obligations to affected individuals, the Florida Department of Legal Affairs (if 500 or more Florida residents are affected), and any other applicable data breach notification law.
  • Personal Information in Customer Data. If Customer Data includes personal information subject to applicable data protection law, ShowBase and the customer will enter into a mutually acceptable data processing addendum governing ShowBase's processing of that personal information on the customer's behalf.

If you are an individual whose personal information has been submitted to the Service by a ShowBase customer (for example, as a client, vendor, or crew contact of that customer), please direct privacy requests regarding that information to the ShowBase customer that submitted it, as ShowBase processes that information on the customer's behalf and instructions.

14. Security

We use commercially reasonable administrative, technical, and physical safeguards designed to protect information from unauthorized access, use, disclosure, or destruction. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

15. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. If we make material changes, we will update the "Effective Date" above and, where appropriate, provide additional notice. Your continued use of the Site or the Service after a revised Policy takes effect constitutes your acceptance of the revised Policy.

Refund Policy

1. Overview

This Refund Policy explains how GW Tech, LLC, a Florida limited liability company doing business as "ShowBase" ("ShowBase," "we," "us," or "our"), handles refund requests for Fees paid for subscriptions to the ShowBase software-as-a-service platform (the "Service").

2. 14-Day Refund Guarantee

If you are not satisfied with the Service for any reason, you may request a full refund of the most recent Fees charged to your account within fourteen (14) days of the date of that charge. Refunds requested within this 14-day window are issued in full, for any reason, with no additional conditions.

3. How the Window Applies

Subscription Fees are billed periodically (monthly or annually, depending on your Order Form). Each new charge starts its own 14-day refund window, so the guarantee in Section 2 applies to every billing cycle, not just your first.

4. Fees Outside the Refund Window

Fees are non-refundable once the 14-day window described in Section 2 has passed for that charge.

5. Billing Errors and Duplicate Charges

If you believe you were charged in error — for example, a duplicate charge or an incorrect amount — please contact us at legal@showbaseusa.com. We will investigate and correct any confirmed billing error, regardless of when it is reported.

6. Cancelling Your Subscription

You may cancel your subscription at any time by contacting us at legal@showbaseusa.com or through the notice procedure in your Order Form. Cancelling stops future billing. It does not by itself issue a refund, but any refund request tied to your most recent charge remains available under Section 2 if made within the 14-day window.

7. Payment Processing

All payments are collected and processed by Paddle.com, our authorized reseller and merchant of record. Paddle handles the transaction and issues approved refunds to the original payment method on file; processing times depend on Paddle's own processes and your financial institution.

8. How to Request a Refund

To request a refund, contact us with your company name, Order Form or invoice reference, and the date of the charge. As our merchant of record, Paddle.com also provides buyer support for billing inquiries and can process your refund request directly.

9. Changes to This Policy

We may update this Refund Policy from time to time. If we make material changes, we will update the "Effective Date" above. Changes to this Policy will not apply retroactively to charges made before the change takes effect.
